PLEASE READ THIS END USER LICENSE AGREEMENT (“AGREEMENT”) CAREFULLY. BY DOWNLOADING, INSTALLING, ACTIVATING, OR USING LIVECUT, YOU (“YOU” OR “LICENSEE”) AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE, AND REQUEST A REFUND WHERE APPLICABLE.

PLEASE READ THIS END USER LICENSE AGREEMENT (“AGREEMENT”) CAREFULLY. BY DOWNLOADING, INSTALLING, ACTIVATING, OR USING LIVECUT, YOU (“YOU” OR “LICENSEE”) AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE, AND REQUEST A REFUND WHERE APPLICABLE.

Software: LiveCut (“the Software”). Licensor: GHST VENTURES LLC, doing business as GHST Labs (“GHST Labs,” “we,” “us,” or “our”). This Agreement governs Your use of the Software. It is a license, not a sale — GHST Labs retains ownership of the Software.

1. Definitions

“Software” means the LiveCut application, including its executables, bundled components, updates, and accompanying documentation.

“License Key” means the activation credential that unlocks a licensed tier of the Software.

“Device” means a single Apple-branded computer running macOS that You own or control.

“Third-Party Components” means software included in or with the Software that is owned by parties other than GHST Labs, as described in Section 7.

2. License Grant

Subject to Your compliance with this Agreement and, where applicable, payment of the applicable fee, GHST Labs grants You a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software as follows, according to the tier You have obtained:

a. Free / Trial. You may install and evaluate the Software at no charge, subject to the functional limits of the free tier (including any recording, session-length, or export limits presented in the Software). The free tier is provided for evaluation and personal use.

b. Single-Show License. A Single-Show License authorizes You to unlock and export a single production session on one Device, for the duration and terms presented in the Software at the time of activation. Each Single-Show License applies to one session.

c. Unlimited (Lifetime) License. An Unlimited License authorizes You to install and use the Software, including unlimited session exports, on the number of Devices permitted by Your purchase (by default, activation is bound to one Device per License Key). “Lifetime” refers to the lifetime of the purchased major version of the Software and does not guarantee future major versions, support, or compatibility in perpetuity.

License enforcement is performed through activation of Your License Key. You are responsible for keeping Your License Key confidential.

3. License Restrictions

You shall not, and shall not permit any third party to:

a. resell, rent, lease, lend, sublicense, distribute, or otherwise transfer the Software or Your License Key, except as expressly permitted in writing by GHST Labs;

b. copy the Software except for a single reasonable backup copy;

c. reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying structure of the Software or any Third-Party Component, except to the limited extent this restriction is prohibited by applicable law;

d. modify, adapt, translate, or create derivative works of the Software;

e. remove, alter, or obscure any copyright, trademark, or other proprietary notices;

f. circumvent, disable, or interfere with any licensing, activation, security, or usage-limit mechanism of the Software;

g. use the Software in violation of any applicable law or the rights of any third party.

4. Ownership

The Software is licensed, not sold. GHST Labs and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. Except for the license expressly granted in Section 2, no rights are granted to You. All rights not expressly granted are reserved by GHST Labs and its licensors.

5. Updates

GHST Labs may, at its discretion, provide updates, bug fixes, or new versions of the Software. Unless accompanied by a separate license, such updates are governed by this Agreement. GHST Labs is under no obligation to provide updates or support for any tier.

6. Privacy and Data

Your use of the Software is subject to the LiveCut Privacy Policy, available at ghstlabs.com/legal/privacy. In summary, the Software processes license activation through our payment/licensing provider (Lemon Squeezy), and — only where You explicitly opt in or manually send a report — transmits crash telemetry and diagnostic bundles to help us improve the Software. The Software does not include third-party advertising or behavioral analytics. See the Privacy Policy for details.

7. Third-Party Components

The Software includes Third-Party Components that remain the property of their respective owners and are subject to their own license terms. Your rights to use these components are limited by, and Your acceptance of this Agreement constitutes acceptance of, the following:

7.1 · RED R3D SDK (R3D decoding and metadata)

To read and interpret RED® REDCODE® RAW (.R3D) media, the Software incorporates redistributable runtime libraries from the RED® R3D™ Software Development Kit (“RED Components”), © RED Digital Cinema. The RED Components are provided under and remain subject to RED’s own license terms. As a condition of Your license to use the Software, You agree that, with respect to the RED Components, You will:

a. not reverse engineer, decompile, disassemble, modify, or attempt to derive the source code of the RED Components;

b. use the RED Components only as an integrated part of the Software, and not extract, separate, or redistribute them for any other use;

c. acknowledge that the RED Components are provided “AS IS,” without warranty of any kind, and that RED Digital Cinema disclaims all warranties and shall have no liability to You arising from Your use of the RED Components; and

d. acknowledge that RED Digital Cinema is an intended third-party beneficiary of this Section 7.1 and may enforce it directly against You.

RED®, REDCODE®, R3D®, and related marks are trademarks of RED Digital Cinema. Use of these marks herein is solely to describe compatibility and does not imply endorsement, certification, sponsorship, or affiliation. The Software is not certified by, and its performance is not guaranteed by, RED Digital Cinema.

7.2 · FFmpeg (LGPL)

The Software bundles components of FFmpeg licensed under the GNU Lesser General Public License, version 2.1 (LGPL v2.1). The applicable attribution, version, corresponding-source information, and the verbatim license text are provided in the Software under Settings → Acknowledgements. Nothing in this Agreement limits Your rights under the LGPL with respect to those components.

7.3 · Other open-source components

Additional open-source components and their licenses are listed under Settings → Acknowledgements in the Software.

8. Term and Termination

This Agreement is effective until terminated. It terminates automatically, without notice, if You breach any of its terms. GHST Labs may also terminate a License Key that it reasonably determines has been issued in error, obtained fraudulently, charged back, or used in violation of this Agreement. Upon termination, You must cease all use of the Software and destroy all copies in Your possession. Sections 3, 4, 7, 9, 10, 11, 12, and 13 survive termination.

9. Disclaimer of Warranties

THE SOFTWARE AND ALL THIRD-PARTY COMPONENTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. GHST LABS DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, FRAME-ACCURATE FOR EVERY WORKFLOW, OR COMPATIBLE WITH ALL MEDIA, HARDWARE, OR THIRD-PARTY EDITING SYSTEMS. YOU ASSUME THE ENTIRE RISK AS TO THE RESULTS AND PERFORMANCE OF THE SOFTWARE. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to You.

YOU ASSUME THE ENTIRE RISK AS TO THE RESULTS AND PERFORMANCE OF THE SOFTWARE. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to You.

Professional-use notice. The Software is a production tool intended to assist with multicam cut logging and edit-list export. You are solely responsible for verifying all exported timecode, cut lists, and media against Your source footage before relying on them in any professional deliverable.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GHST LABS OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, FOOTAGE, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. GHST LABS’ TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU ACTUALLY PAID FOR THE APPLICABLE LICENSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50.00). Some jurisdictions do not allow the limitation of liability, so some of the above may not apply to You.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GHST LABS OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, FOOTAGE, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. GHST LABS’ TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU ACTUALLY PAID FOR THE APPLICABLE LICENSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50.00). Some jurisdictions do not allow the limitation of liability, so some of the above may not apply to You.

11. Indemnification

You agree to indemnify, defend, and hold harmless GHST Labs and its licensors (including RED Digital Cinema) from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to Your use of the Software in violation of this Agreement or applicable law.

12. Export Compliance

You represent that You are not located in, and will not use or export the Software in violation of the laws of, any country subject to U.S. embargo or on any U.S. government restricted-party list. You will comply with all applicable export and import laws.

13. General

Governing law. This Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute shall be brought exclusively in the state or federal courts located in the State of California, and You consent to their personal jurisdiction.

Entire agreement. This Agreement is the entire agreement between You and GHST Labs regarding the Software and supersedes all prior understandings. If any provision is held unenforceable, the remaining provisions remain in effect.

No waiver. GHST Labs’ failure to enforce any provision is not a waiver of its right to do so later.

Assignment. You may not assign this Agreement without GHST Labs’ prior written consent. GHST Labs may assign it freely.
